Terms of Service

These Terms explain the rules for using Sourcing Bay. Please read them carefully. The short version: we help Brands and verified Indian Suppliers find each other and talk directly; any deal you make is between you and the other business.
1. Who we are and what Sourcing Bay does
Sourcing Bay is an online directory and communication platform operated by Brainwalk Solutions (“we”, “us”). It helps brands and buyers (“Brands”) find, compare and contact manufacturers based in India (“Suppliers”).
Sourcing Bay is a venue for introductions only. We are not a party to any contract, quotation, purchase order, payment or shipment between a Brand and a Supplier. We do not act as an agent, broker, buyer, seller, guarantor or inspector for either side.
2. Accepting these Terms
By creating an account or using Sourcing Bay you agree to these Terms, our Privacy Policy and our Refund & Cancellation Policy. If you use Sourcing Bay for a company, you confirm you are authorised to accept these Terms for it.
You must be at least 18 years old and using Sourcing Bay for business purposes.
3. Accounts
Give accurate information and keep it up to date. Keep your password private; you are responsible for activity on your account. Tell us at brainwalk007@gmail.com if you think your account has been used without permission.
Choose the account type that matches your business: Supplier accounts are for manufacturers, Brand accounts are for buyers. One person or company may not hold several accounts to get around limits or suspensions.
4. Supplier verification and what the badges mean
Suppliers may submit documents (for example GST registration, Import Export Code, company registration and certificates) for review. We may also record factory or on-site audits. Badges (Verified, Factory Verified, Premium Verified) show that the checks described on our site were completed on the date shown, based on the documents and information available to us at that time.
A badge is not a guarantee of a Supplier's quality, capacity, financial standing, legal compliance or future performance. Badges can expire or be removed. Brands remain responsible for their own due diligence, including sampling, inspections, contracts and payment terms, before placing orders.
Suppliers confirm that every document and statement they submit is genuine, current and theirs to share. Submitting false or altered documents leads to immediate removal of the account.
5. Requests, quotes, messages and orders
Requests for quotation, quotes and messages sent through Sourcing Bay are communications between Brands and Suppliers. Any order, price, specification, delivery or payment is agreed directly between them, on terms they agree between themselves.
Marking a quote as accepted or an order as completed on Sourcing Bay is a record-keeping tool. It does not by itself create a contract and does not move money.
Disputes about products, quality, delivery or payment are between the Brand and the Supplier. We may, but are not required to, help or remove accounts that break these Terms.
6. Content you add
You keep ownership of the content you upload, such as photos, product listings, documents, reviews and messages. You give us a worldwide, non-exclusive, royalty-free licence to host, display, copy and adapt (for example resize) that content to run and promote Sourcing Bay. For Suppliers this includes showing your public profile, photos and product listings to visitors once verified.
Only upload content you have the right to share. Verification documents are kept private and are seen only by you and our review team.
Reviews must be honest, based on a real completed order, and must not contain personal data, insults or confidential information.
7. Things you must not do
Do not: post false, misleading or illegal content; impersonate another business; list prohibited, counterfeit or unsafe goods; send spam or unsolicited bulk messages; collect other users' contact details to use outside the purpose of sourcing; try to get around plan limits, security or rate limits; scrape the site; or interfere with how the site works.
Users must comply with all laws that apply to their business, including export and import, sanctions, product-safety, labour and anti-corruption laws.
8. Paid plans and billing
Some features need a paid plan. Prices are shown on the Pricing page in Indian rupees and US dollars. Taxes apply as required by law.
Paid plans renew automatically at the end of each monthly or yearly period until cancelled. Rupee payments (UPI, cards, net banking, wallets) are processed by Razorpay and US-dollar payments by Stripe; we do not see or store your card or UPI details.
You can cancel at any time from Plan & billing; your plan stays active until the end of the period already paid. Refunds are covered by our Refund & Cancellation Policy.
We may change prices or plan features with at least 30 days' notice by email or on the site. Changes apply from your next renewal; you can cancel before then.
9. Suspension and closing accounts
We may remove content, remove badges, or suspend or close accounts that break these Terms, put other users at risk, or that we are required to act on by law. Where reasonable we will tell you why.
You can close your account at any time by emailing brainwalk007@gmail.com. Cancelling a paid plan does not delete your account.
10. Availability and changes to the service
We work to keep Sourcing Bay available and secure, but it is provided “as is” and “as available”. We may change, add or remove features over time.
11. Limitation of liability
To the extent permitted by law, we are not liable for: the acts, products, quotes or omissions of any Brand or Supplier; losses from orders or deals made between users; or indirect or consequential losses such as lost profits, lost business or lost data.
To the extent permitted by law, our total liability to you for any claim related to Sourcing Bay is limited to the amount you paid us in the 12 months before the claim, or US$100 if you have not paid us anything.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
12. Indemnity
You agree to compensate us for claims, losses and reasonable costs caused by your breach of these Terms, your content, or your dealings with other users.
13. Changes to these Terms
We may update these Terms. If a change is significant we will tell you by email or on the site at least 14 days before it takes effect. Continuing to use Sourcing Bay after that means you accept the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of India. Disputes will be handled by Indore, unless the law where you are based gives you a right to bring a claim locally.
